CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

1. Definition of Confidential Information

2. Exclusions from Confidential Information
The obligations of confidentiality outlined in this Agreement do not apply to information that:
(a) Is or becomes publicly known without breach of this Agreement by the Receiving Party;
(b) Is independently developed or discovered by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information;
(c) Is rightfully obtained by the Receiving Party from a third party who has the right to disclose it without violating any confidentiality obligations; or
(d) Is disclosed with the Disclosing Party's prior written consent.
3. Obligations of the Receiving Party
The Receiving Party agrees to:
(a) Keep and maintain the Confidential Information in the strictest confidence, solely for the benefit of the Disclosing Party;
(b) Limit access to the Confidential Information to employees, contractors, and third parties who reasonably require access and have agreed to confidentiality obligations as protective as those in this Agreement;
(c) Not disclose, use, or permit the use of the Confidential Information for any purpose other than to fulfill the terms of this Agreement without the prior written consent of the Disclosing Party;
(d) Upon request from the Disclosing Party, return or destroy any documents, notes, or materials containing Confidential Information, and certify in writing such return or destruction.
4. Duration of Confidentiality Obligations
The confidentiality obligations set forth in this Agreement shall continue indefinitely, or until one of the following occurs:
(a) The Confidential Information no longer qualifies as a trade secret; or
(b) The Disclosing Party provides written notice releasing the Receiving Party from the confidentiality obligations of this Agreement.
5. Severability
If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain valid and enforceable in accordance with its terms, and the invalid or unenforceable provision shall be modified or interpreted in a way that best accomplishes the intent of the parties.
6. Integration and Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the subject matter and supersedes any prior discussions, agreements, or representations. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
7. Waiver
The failure of either Party to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision, nor shall it prevent the Party from enforcing such right or provision in the future.

Below is our manufacturing agreement that protects all makers and makes sure your work remains safe from exploitation. Supporting makers to create value from their creativity, share their work with their community without additional stress. Sounds good to us! ππΌ
Yourstuffmade.com Manufacturing Agreement
This Manufacturing Agreement is entered into by and betweenΒ Yourstuffmade.comΒ ("Manufacturer"), and ("Client") as of the effective date set forth below. The purpose of this Agreement is to define the terms and conditions under which Yourstuffmade.com will manufacture custom products for the Client.
1. Scope of Work
Yourstuffmade.com agrees to manufacture and deliver the products as outlined in the Client's order, subject to the terms and conditions specified in this Agreement. The details of the product(s), including design, materials, and specifications, will be mutually agreed upon by both parties before production begins.
2. Payment Terms
The Client agrees to make aΒ 50% depositΒ of the total project cost before the start of production.
The remainingΒ 50%Β shall be paid before shipment, upon the Client's receipt of photo proof of the finished items. Photos will be provided by the Manufacturer as verification of the completed product.
Production will not begin without receipt of the deposit, and shipping will not occur until the final payment is received in full.
3. Intellectual Property and Confidentiality
Yourstuffmade.com acknowledges that all designs, trademarks, and related intellectual property provided by the Client are the exclusive property of the Client.
We guarantee that your designs will remain confidential and secure throughout the production process and thereafter.
We shall not use, disclose, or replicate any aspect of the Client's intellectual property without express written consent.
4. Ethical Manufacturing
Yourstuffmade.com isΒ B Corp Certified, ensuring that all of our manufacturing practices meet the highest standards of verified social and environmental performance.
All products are ethically made, and we adhere to sustainable sourcing practices to minimize our environmental footprint.
We maintain transparency in our production processes and guarantee that no forced labor, child labor, or unsafe working conditions are involved at any stage of production.
5. Shipping and Delivery
Upon receipt of the final payment, the completed product will be shipped to the address provided by the Client.
The Manufacturer will not be responsible for any delays caused by the Client's failure to make timely payments.
6. Termination and Refunds
Either party may terminate this Agreement in the event of a material breach by the other party.
In the event of cancellation by the Client after production has started, the deposit will be forfeited to cover materials and labor costs incurred.
7. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
By placing an order with us, both parties agree to the terms and conditions of this Manufacturing Agreement.
